單價(jià):荔枝罐頭 20美元/每箱UNIT PRICE: Canned Litchi USD20 PER CARTON
 
運輸方式:CIF 洛杉磯, 美國TERMS OF DELIVERY: CIF Los Angeles, USA
價(jià)格在這兩個(gè)月內有效且不變。(從2011年12月1日至2012年1月31日)
Prices are valid and unchanged within Two months. (From December 1st, 2011 to January 31st, 2012 )
 
4. 總數:160,000美元整Total Amount:USD160,000 ONLY
5.保險:由買(mǎi)方投保。INSURANCE:To be coverd by the Buyers.
6.嘜頭:賣(mài)方應在每件包裝上,用不褪色油墨清楚地標刷件號、尺碼、毛重、凈重、“此端向上”、“小心輕放”等字樣,并刷有下列嘜頭:
SHIPPING MARK:On the surface of each package, the package number ,measurements, gross weight, net weight, the lifting positions, such cautions as “DO NOT STACK UP SIDE DOWN”, “HANDLE WITH CARE” and the following shipping mark shall be stenciled legibly in fadeless paint:

8. 付款條件:Terms of Payment:
(1)先通過(guò)信匯預付10%的貨款,再預先開(kāi)出含90%貨款的即期信用證

(2) 將如下一套單據與貨物一起寄到買(mǎi)方處:

9. 包裝:用中國標準的出口包裝

10.商品檢驗:買(mǎi)賣(mài)雙方同意以裝運口岸中國出入境檢驗檢疫局簽發(fā)的品質(zhì)和重量檢驗證書(shū)作為品質(zhì)和數量的交貨依據。
Commodity Inspection: It is mutually agreed that the Certificate of Quality and Weight issued by the China Entry-Exit Inspection and Quarantine Bureau at the port of shipment shall be taken as the basis of delivery.
 
11. 異議和索賠:萬(wàn)一貨物的質(zhì)量出現問(wèn)題,買(mǎi)方應該在貨物到達目的港后的30天內以書(shū)面方式告知。對于數量問(wèn)題,買(mǎi)方應該在貨物到達目的港后的15天內以書(shū)面方式告知。應該明確的是,賣(mài)方對由保險公司,運輸公司和其他的運輸組織或郵局負責的事項,不負有賠償責任。
Discrepancy and Claim: In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other Transportation Organization/ or Post Office are liable.
 
保證:WARRANTY:
如果有質(zhì)量問(wèn)題的貨物少于10件,那么每一箱多提供的1件貨物,將被用作補償。
如果有質(zhì)量問(wèn)題的貨物多于10件,買(mǎi)方應將樣本在30天內寄回給賣(mài)方。賣(mài)方一經(jīng)確認質(zhì)量問(wèn)題,將會(huì )對貨物作出補償。
If quality problem occurs and quantity is less than 10PCS, the extra offered 1pc for each carton will be considered as the reimbursement and compensation.
If quality problem occurs and quantity is above is 10PCS, the Buyer should send the sample to the Seller within 30 days. Once the Seller confirmed the quality problem, the Seller will reimbursement the goods.
 
12. 不可抗拒力:由于一般公認的人力不可抗拒原因而不能交貨或裝船遲延,賣(mài)方不負責任。但賣(mài)方必須在事故發(fā)生時(shí)立即電告買(mǎi)方并在事故發(fā)生后15天內航空郵寄給買(mǎi)方災害發(fā)生地點(diǎn)之有關(guān)政府機關(guān)或商會(huì )所發(fā)給的證件證實(shí)災害存在。
除因不可抗力致裝船遲延或不能交貨外,如賣(mài)方不能按合同規定期限內裝船,則需要賠償買(mǎi)方直接由于遲期交貨或不能按合同條件交貨所遭受之一切損失及費用。人力不可抗拒事故如繼續存在60天以上時(shí),買(mǎi)方有權撤銷(xiāo)合同或合同中未裝運部分。
Force Majeure: The Seller shall not be held responsible for late delivery or non-delivery of the goods owing to generally recognized "Force Majeure" causes. However, in such case, the Seller shall immediately cable the Buyer the accident and airmail to the Buyer within 15 days after the accident, a certificate of the accident issued by the competent government authorities or the chamber of commerce which is located at the place where the accident occurs as evidence thereof.
With the exception of late delivery or non-delivery due to "Force Majeure" causes, in case the Seller fails to make delivery within the time as stipulated in the contract, the Seller should indemnify the Buyer for all losses and expenses incurred to the latter directly attributable to late delivery or failure to make delivery of the goods in accordance with the terms of this contract. If the "Force Majeure" cause lasts over 60 days, the Buyers shall have the right to cancel the Contract or the undelivered part of the Contract.
 
13. 仲裁:一切因執行本合同所發(fā)生與本合同有關(guān)之爭執,雙方應友好協(xié)商解決。如雙方協(xié)商不能解決時(shí),此爭執應提交中國國際貿易促進(jìn)委員會(huì )對外貿易仲裁委員會(huì ),大連分會(huì )。按照該仲裁委員會(huì )仲裁程序暫行規則進(jìn)行仲裁。仲裁委員會(huì )的裁決為終局裁決,對雙方均有約束力,對仲裁費用除非仲裁委員會(huì )另有決定外,均由敗訴一方負擔。
Arbitration: Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Dalian Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The fees for arbitration shall be borne by the losing Party, unless otherwise awarded.
 
14. 通知義務(wù):所有通知都必須同時(shí)用英文和中文書(shū)寫(xiě),通過(guò)傳真/電子郵件/信使的方式,根據以下地址送達到雙方。如果地址有任何的變更,變更的一方應該在地址發(fā)生變更后的7日內通知另外一方。
Notices: All notices shall be written in both English and Chinese and served to both parties by fax/e-mail/courier according to the following addresses. If any changes of the addresses occur, one party shall inform the other party of the change of address within 7 days after the change.
 
15. 其他條件:Other conditions:
(1)本合同自簽訂之日起生效。任何對條款的修改或新增加的條款,只有在雙方確認并以書(shū)面形式表示后才有效。
This contract comes into effect from the signing date. Any amendment or additional clauses to this contract shall be valid only if made in writing and confirmed by the both parties.
 
(2)本合同有效期至2012年5月1日。This contract shall be valid up to 1st May, 2012.
 
本合同須同時(shí)用英文和中文書(shū)寫(xiě),一式兩份,自雙方簽訂后生效。各方所持的合同具有同等效力。
This contract shall be made in both English and Chinese, in 2 copies effective since being signed/scaled by both parties, one for each party with the same value.
